1. AGREEMENT TO TERMS

These Terms of Service (“Terms,” “Terms of Service”) constitute a
legally binding agreement between you (“User,” “you,” or “your”)
and GuiderJapan (“Company,” “we,” “our,” or “us”), concerning your
access to and use of the guiderjapan.com website (the “Site”) as
well as any related applications, services, and features
(collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU HAVE READ,
UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT
AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE
SERVICES AND SHOULD NOT USE THE SERVICES.

We reserve the right to change or modify these Terms at any time
and in our sole discretion. If we make material changes to these
Terms, we will provide notice through the Services or by other means
to provide you the opportunity to review the changes before they
become effective. Your continued use of the Services after we publish
or send a notice about changes to these Terms means that you consent
to the updated Terms.

2. ELIGIBILITY

You must be at least 18 years old to use the Services. By using the
Services, you represent and warrant that:

a) You are at least 18 years of age
b) You have the legal capacity to enter into these Terms
c) You are not prohibited from accessing or using the Services under
the laws of Japan or any other applicable jurisdiction
d) You will comply with these Terms and all applicable local, state,
national, and international laws, rules, and regulations

If you are using the Services on behalf of an organization or entity,
you represent and warrant that you are authorized to accept these
Terms on behalf of that organization or entity.

3. ACCOUNT REGISTRATION

3.1 Account Creation

To access certain features of the Services, you may be required to
create an account. When creating an account, you agree to:

a) Provide accurate, current, and complete information
b) Maintain and promptly update your account information
c) Maintain the security of your account credentials
d) Accept all responsibility for activity that occurs under your account
e) Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your
account login credentials and for all activities that occur under
your account. We are not liable for any loss or damage arising from
your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time,
with or without notice, for any reason, including if we believe you
have violated these Terms.

4. USE OF SERVICES

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive,
non-transferable, non-sublicensable, revocable license to access
and use the Services for your personal, non-commercial use.

4.2 Prohibited Uses

You agree not to:

a) Use the Services for any illegal purpose or in violation of any
local, state, national, or international law
b) Violate or infringe the rights of others, including privacy,
publicity, intellectual property, or other proprietary rights
c) Post, upload, or distribute any defamatory, libelous, obscene,
pornographic, abusive, offensive, or otherwise objectionable content
d) Harass, threaten, stalk, or harm another person
e) Impersonate any person or entity or misrepresent your affiliation
with any person or entity
f) Interfere with or disrupt the Services or servers or networks
connected to the Services
g) Attempt to gain unauthorized access to any portion of the Services,
other accounts, computer systems, or networks
h) Use any robot, spider, scraper, or other automated means to access
the Services
i) Reverse engineer, decompile, or disassemble any part of the Services
j) Remove any copyright, trademark, or other proprietary notices
k) Post or transmit any viruses, malware, or other harmful code
l) Use the Services to spam or send unsolicited communications
m) Collect or harvest personal information about other users
n) Create multiple accounts for fraudulent purposes
o) Post false, misleading, or fraudulent job listings or information
p) Post discriminatory job listings or content
q) Use the Services for any commercial purpose without our prior
written consent

4.3 User Conduct Standards

When using our community features (forums, comments, discussions),
you agree to:

• Be respectful and courteous to other users
• Stay on-topic and relevant to living/working in Japan
• Not post spam, advertisements, or promotional content without permission
• Not share personal contact information of others
• Not post copyrighted material without proper authorization
• Follow our community guidelines and moderation decisions

5. USER CONTENT

5.1 Definition

“User Content” means any content, materials, data, information, text,
graphics, photos, profiles, messages, job applications, resumes, job
listings, housing listings, reviews, comments, and other materials
that you submit, post, upload, or transmit through the Services.

5.2 Ownership

You retain ownership of your User Content. However, by submitting
User Content to the Services, you grant us a worldwide, non-exclusive,
royalty-free, perpetual, irrevocable, sublicensable, and transferable
license to use, reproduce, modify, adapt, publish, translate, create
derivative works from, distribute, publicly perform, and publicly
display your User Content in connection with operating and providing
the Services.

5.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences
of posting or publishing it. You represent and warrant that:

a) You own or have the necessary rights to submit your User Content
b) Your User Content does not violate any third-party rights
c) Your User Content does not violate these Terms
d) Your User Content is accurate and not misleading

5.4 Monitoring and Removal

We have the right, but not the obligation, to monitor, review, edit,
or remove any User Content at our sole discretion, for any reason,
at any time, without notice to you.

We do not endorse any User Content and expressly disclaim any
liability related to User Content.

5.5 Job Listings and Applications

For Job Listings:

• Employers are responsible for ensuring job listings are accurate,
  legal, and non-discriminatory
• Job listings must comply with all applicable employment laws
• We reserve the right to remove job listings that violate these Terms
  or applicable laws
• Employers are responsible for how they handle applicant information

For Job Applications:

• Job seekers are responsible for the accuracy of their applications
• We are not responsible for how employers use applicant information
• Job seekers should not include sensitive personal information
  (social security numbers, bank details, etc.) in applications
• We may share application materials with relevant employers

5.6 Housing Listings

• Housing listings must be accurate and comply with fair housing laws
• We reserve the right to remove listings that are fraudulent,
  misleading, or discriminatory
• Users are responsible for verifying property details before
  entering any agreements
• We are not a party to any rental agreements and are not responsible
  for disputes between landlords and tenants

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

The Services, including all content, features, and functionality
(including but not limited to all information, software, text,
displays, images, video, audio, design, selection, and arrangement),
are owned by GuiderJapan, its licensors, or other providers of such
material and are protected by copyright, trademark, patent, trade
secret, and other intellectual property or proprietary rights laws.

Our trademarks, service marks, and logos (the “GuiderJapan Marks”)
used and displayed on the Services are our registered and unregistered
trademarks or service marks. You may not use the GuiderJapan Marks
without our prior written consent.

6.2 Limited License

These Terms permit you to use the Services for your personal,
non-commercial use only. You may not reproduce, distribute, modify,
create derivative works of, publicly display, publicly perform,
republish, download, store, or transmit any of the material on our
Services, except as follows:

a) Your computer or mobile device may temporarily store copies of such
materials in RAM incidental to your accessing and viewing those
materials
b) You may store files that are automatically cached by your web browser
for display enhancement purposes
c) You may print or download one copy of a reasonable number of pages
of the Services for your personal, non-commercial use

6.3 Restrictions

You must not:

• Modify copies of any materials from the Services
• Use any illustrations, photographs, or graphics separately from
  accompanying text
• Delete or alter any copyright, trademark, or other proprietary
  rights notices

7. THIRD-PARTY LINKS AND SERVICES

7.1 Third-Party Websites

The Services may contain links to third-party websites, services,
or resources that are not owned or controlled by us (including job
application portals, employer websites, real estate agency sites,
and partner services).

We have no control over and assume no responsibility for the content,
privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we are not responsible or liable for:

a) The availability or accuracy of such websites or resources
b) The content, products, or services on or available from such
websites or resources

7.2 Third-Party Terms

Your use of third-party websites and services is subject to the terms
and conditions and privacy policies of those third parties.

We strongly advise you to read the terms and conditions and privacy
policies of any third-party websites or services that you visit.

8. FEES AND PAYMENT

8.1 Paid Services

Certain features of the Services may require payment of fees
(including but not limited to job listing fees, featured listing fees,
premium membership fees).

All fees are in Japanese Yen (JPY) or US Dollars (USD) as specified,
and are non-refundable except as required by law.

8.2 Payment Processing

Payments are processed by third-party payment processors. By providing
payment information, you represent and warrant that:

a) You have the legal right to use the payment method
b) The information you provide is true, correct, and complete
c) You will pay all charges incurred by you at the prices in effect
when such charges are incurred

8.3 Pricing Changes

We reserve the right to change our fees at any time. We will provide
you with reasonable notice of any pricing changes by posting the new
prices on the Site or by sending you an email notification.

If you do not wish to pay the new fees, you may cancel your paid
services.

8.4 Refund Policy

Generally, all fees are non-refundable. However, we may provide
refunds in the following circumstances:

• Technical issues prevented access to paid services
• Duplicate charges or billing errors
• As required by applicable law

To request a refund, contact us at hello@guiderjapan.com within
14 days of the charge.

8.5 Free Trial

We may offer free trials for certain paid services. We reserve the
right to determine your eligibility for a free trial and to modify
or terminate any free trial offer at any time.

If we require payment information to start a free trial, you will be
charged when the trial period ends unless you cancel before the trial
ends.

9.1 AS-IS Basis

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS
WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO:

• Warranties of MERCHANTABILITY
• Fitness for a particular purpose
• Non-infringement
• Title
• Quiet enjoyment
• Accuracy
• Reliability

9.2 No Warranty of Accuracy

We do not warrant that:

a) The Services will meet your requirements
b) The Services will be uninterrupted, timely, secure, or error-free
c) The results obtained from use of the Services will be accurate or
reliable
d) The quality of any products, services, information, or other
material obtained through the Services will meet your expectations
e) Any errors in the Services will be corrected

9.3 Content Disclaimer

• We do not verify the accuracy of user-submitted content
• Job listings are posted by employers, and we make no guarantees
  about job availability, salary, or working conditions
• Housing listings are posted by landlords/agencies, and we make no
  guarantees about property condition or availability
• Travel information is for general guidance only and may be outdated
• We are not responsible for the actions of employers, landlords, or
  other users

9.4 Not Professional Advice

The information provided through the Services is for general
informational purposes only and should not be considered:

• Legal advice
• Financial advice
• Immigration advice
• Career counseling
• Real estate advice
• Professional consulting

You should consult with appropriate professionals for advice specific
to your situation.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
GUIDERJAPAN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS,
OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits
• Loss of data
• Loss of use
• Loss of goodwill
• Business interruption
• Personal injury
• Property damage

ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES,
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY
TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE
SERVICES SHALL NOT EXCEED THE GREATER OF:

a) The amount you have paid to us in the 12 months preceding the claim,
or
b) ¥10,000 (ten thousand Japanese Yen) or $100 (one hundred US dollars)

10.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS
OF THE BARGAIN BETWEEN YOU AND GUIDERJAPAN. WE WOULD NOT BE ABLE TO
PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain
warranties or the limitation or exclusion of liability for incidental
or consequential damages. Accordingly, some of the limitations above
may not apply to you. In such jurisdictions, our liability will be
limited to the greatest extent permitted by law.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GuiderJapan and its
affiliates, licensors, and service providers, and its and their
respective officers, directors, employees, contractors, agents,
licensors, suppliers, successors, and assigns from and against any
claims, liabilities, damages, judgments, awards, losses, costs,
expenses, or fees (including reasonable attorneys’ fees) arising out
of or relating to:

a) Your violation of these Terms
b) Your use of the Services
c) Your User Content
d) Your violation of any third-party rights, including intellectual
property rights or privacy rights
e) Any claim that your User Content caused damage to a third party

We reserve the right to assume the exclusive defense and control of
any matter subject to indemnification by you, in which event you will
cooperate with us in asserting any available defenses.

This indemnification obligation will survive these Terms and your use
of the Services.

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the
laws of Japan, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree that any legal action or proceeding between you and
GuiderJapan for any purpose concerning these Terms or the Services
shall be brought exclusively in the courts located in Tokyo, Japan.

You irrevocably consent to the jurisdiction of such courts and waive
any objection to venue in such courts.

12.3 Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute
informally by contacting us at hello@guiderjapan.com. We’ll try to
resolve the dispute informally by contacting you via email.

If a dispute is not resolved within 30 days of submission, you or
GuiderJapan may bring a formal proceeding.

12.4 Time Limitation

You agree that any claim you may have arising out of or related to
these Terms or the Services must be filed within one year after such
claim arose; otherwise, your claim is permanently barred.

13. TERMINATION

13.1 Termination by You

You may terminate your account at any time by:

a) Sending us an email at hello@guiderjapan.com
b) Using the account deletion feature in your account settings (if
available)

13.2 Termination by Us

We may suspend or terminate your access to the Services immediately,
without prior notice or liability, for any reason, including but not
limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Request by law enforcement or government agency
• Unexpected technical issues or problems
• Extended periods of inactivity
• Engagement in conduct that we believe causes liability or harm to
  GuiderJapan, other users, or third parties

13.3 Effect of Termination

Upon termination:

a) Your right to use the Services will immediately cease
b) We may delete your account and User Content
c) We are not liable to you or any third party for termination
d) Sections of these Terms that by their nature should survive
termination will survive, including but not limited to intellectual
property provisions, disclaimers, indemnification, and limitations
of liability

14. PRIVACY

Your use of the Services is also governed by our Privacy Policy, which
is incorporated into these Terms by reference. Please review our

By using the Services, you consent to the collection and use of
information as detailed in our Privacy Policy.

15. COPYRIGHT POLICY

15.1 DMCA Compliance

We respect the intellectual property rights of others and expect users
to do the same. We will respond to notices of alleged copyright
infringement that comply with the Digital Millennium Copyright Act
(DMCA) and other applicable intellectual property laws.

15.2 Copyright Infringement Notification

If you believe that your copyrighted work has been copied in a way
that constitutes copyright infringement and is accessible via the
Services, please notify our copyright agent with the following
information:

a) A physical or electronic signature of the copyright owner or
authorized person
b) Identification of the copyrighted work claimed to have been infringed
c) Identification of the material that is claimed to be infringing,
including its location on the Services
d) Your contact information (address, telephone number, email)
e) A statement that you have a good faith belief that use of the
material is not authorized
f) A statement that the information in the notification is accurate
and, under penalty of perjury, that you are authorized to act on
behalf of the copyright owner

15.3 Counter-Notification

If you believe that material you posted was removed by mistake or
misidentification, you may send a counter-notification containing:

a) Your physical or electronic signature
b) Identification of the material and its former location
c) A statement under penalty of perjury that the material was removed
by mistake or misidentification
d) Your contact information and consent to jurisdiction

15.4 Repeat Infringers

We will terminate the accounts of users who are repeat infringers.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal
notices or agreements published by us on the Services, constitute the
entire agreement between you and GuiderJapan regarding the Services.

16.2 Waiver

No waiver of any term of these Terms shall be deemed a further or
continuing waiver of such term or any other term. Our failure to
assert any right or provision under these Terms shall not constitute
a waiver of such right or provision.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable
by a court, the remaining provisions will continue in full force and
effect.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder,
in whole or in part, without our prior written consent.

We may assign these Terms or any rights hereunder without your consent.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations
under these Terms where such failure results from any cause beyond
our reasonable control, including but not limited to mechanical,
electronic, or communications failure or degradation, natural
disasters, war, terrorism, or government restrictions.

16.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership,
joint venture, agency, or employment relationship between you and
GuiderJapan. You have no authority to bind GuiderJapan in any respect.

16.7 Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or
remedies upon any person other than you and GuiderJapan.

16.8 Headings

The headings and captions used in these Terms are for convenience
only and shall not affect the interpretation of these Terms.

16.9 Language

These Terms are written in English. Any translation is provided for
your convenience. In the event of any conflict between the English
version and any translation, the English version shall prevail.

16.10 Electronic Communications

By using the Services, you consent to receiving electronic
communications from us. These electronic communications may include
notices about applicable fees and charges, transactional information,
and other information concerning or related to the Services.

You agree that any notices, agreements, disclosures, or other
communications that we send you electronically will satisfy any legal
communication requirements, including that such communications be in
writing.
